Securitisation Vehicles

Hamilton has a close working relationship with a Luxembourg fund administrator and a Luxembourg regulated fund manager (AIFM) which manage around EUR 2 Bn of assets, including numerous investment funds and about 70 Securitisations.
Hamilton has set up and supported many Securitisations, working closely with trusted Luxembourg partners, and has developed efficient workflows with the Luxembourg partners' board members, administrators, compliance teams and lawyers.
Fund Vehicles
Hamilton offers advice and assistance to fund managers, fund distributors, portfolio managers and investors, and offers particular expertise in European funds regulation, and creating funds and investments structures in Luxembourg, with trusted local partners.
Hamilton has worked closely with a wide range of funds and their advisors, administrators and regulated managers, from single-manager partnerships to the largest global mega-funds, in jurisdictions including Israel, Luxembourg, Switzerland, the Cayman Islands, the Isle of Man, Malta and many others.
Hamilton has a decade of experience working with investment funds. He started off advising Israeli technology businesses and venture capital funds, and working with business owners and fund managers handling investments, fund setups and a wide range of corporate and commercial matters. He then worked as a Capital Markets lawyer advising larger technology businesses raising money on global stock exchanges, especially TASE and NASDAQ, with a focus on SEC reporting. More recently he began to design and build investment platforms, working together with computer programmers and clearing and settlements institutions (banks, paying agents, clearing agencies, brokers, custodians, etc.), and with large numbers of funds, increasing his expertise in the systems and processes of the international funds ecosystem.
Due Diligence
Hamilton offers high quality due diligence reports prepared in a short time frame, including for investments into funds, and for specific asset classes, e.g. real estate, debt (including debt for real estate, commercial lending and litigation funding), technology businesses and more.
High quality legal due diligence requires an experienced lawyer. To really understand legal risks and the significance of the wording in legal clauses, theoretical knowledge alone is not always enough. Hamilton has experience with many different investments situations, including distressed and litigation scenarios, and is very familiar with where risks can lie and how they should be addressed in legal documentation. Hamilton has also reviewed huge quantities of investment documents and will quickly identify non-standard wording in different types of transactions.
Compliance
Hamilton offers to review and manage compliance policies and procedures, as well as advise on specific legal questions relating to regulations on Know Your Customer, Anti-Money Laundering and Counter Financing of Terrorism, as well as FATCA and CRS tax classification and reporting, with particular focus on European requirements.
Hamilton has extensive practical experience in Compliance, including from assisting funds to meet their compliance obligations with respect to their investors, and from "onboarding" multiple business entities and investment structures with corporate service providers, funds and banks around the world. Hamilton understands the importance of exercising informed judgement in the framework of the regulations and the factual context to make Compliance risk decisions.
